License Terms

This License Agreement ("Agreement") governs the licensing of music content ("Track" or "Tracks") through wavmark.io ("the Platform"), operated by Pac Sun Group. By purchasing a license, you ("Licensee" or "Buyer") agree to the terms below.

1. License Types

Wavmark offers the following license types. The specific license you purchase determines the scope of your permitted use.

License pricing is set by the Creator and displayed at the time of purchase. All purchases are final once the license is issued.

2. What Your License Grants

Each license grants you a non-exclusive, worldwide, perpetual right to synchronize and use the licensed Track in the project and media types specified by your license tier. Specifically:

  • You may edit, cut, loop, or modify the Track to fit your project (you may not release it as a standalone song)
  • You may use the Track in one (1) project per license purchase. A new license is required for each separate project
  • Your license is perpetual for the specified project - it does not expire
  • You receive a license certificate with a unique identifier that serves as proof of your rights

3. What Your License Does Not Grant

  • Ownership or copyright of the Track (the Creator retains all rights)
  • The right to resell, sublicense, or redistribute the Track as a standalone audio file
  • The right to register the Track with a content identification service (Content ID, etc.) in your name
  • The right to claim the Track as your original composition
  • The right to use the Track in projects that promote hate, violence, or illegal activity

4. Copyright Claims Protection

Tracks licensed through Wavmark are cleared for use within the scope of your license. Your license certificate serves as documentation of your rights. If you receive an automated copyright claim (such as a YouTube Content ID claim) on content using a properly licensed Track, you may use your license certificate to dispute the claim. Wavmark will provide reasonable assistance in resolving such disputes.

5. Provenance and AI-Generated Content

Wavmark tracks provenance metadata for all content on the Platform. This may include whether the Track was created using AI generation tools, the name of the AI tool (if disclosed by the Creator), and other relevant creation details. This information is displayed to Buyers prior to purchase.

By purchasing a license, you acknowledge that you have reviewed the provenance information for the Track and accept the Track as-is. You are responsible for ensuring the licensed content is suitable for your intended use, including any policies your distribution platforms may have regarding AI-generated content.

6. Content Identification and Removal

Important: Content subject to legal challenge. Each Track on Wavmark is assigned a unique content identifier (Wavmark ID). If a Track is removed from the Platform due to a copyright dispute, legal ruling, DMCA takedown, or regulatory action (including but not limited to rulings affecting AI-generated content), the following applies:

6a. Impact on Existing Licenses

If a Track you have licensed is removed from the Platform:

  • For copyright infringement (DMCA or court order): Your license is terminated immediately. You must cease use of the Track in any new distribution. For content already published and live, you must remove the Track within 30 days of notification
  • For regulatory/legal changes affecting AI content broadly: Your license remains valid for existing published projects but may not be used for new projects. Wavmark will notify you of the specific restrictions
  • For Creator-initiated removal (voluntary takedown): Your license remains valid. You may continue using the Track in the project for which it was licensed

6b. Refund Policy for Removed Content

If your license is terminated due to a copyright infringement finding against the Track, you are eligible for a full refund of the license fee. Refund requests must be submitted within 60 days of the removal notification. Contact contact@pacsungroup.com with your license certificate number.

6c. Creator Liability

The Creator who uploaded the Track represents and warrants that they have all necessary rights to license it. If a Track is found to infringe on third-party rights, the Creator (not Wavmark) is liable for damages to affected Buyers. Wavmark facilitates the transaction but does not warrant the originality or legal status of any Track.

7. Indemnification

For Creators: You agree to indemnify Wavmark and any Buyers who license your content against claims arising from your content's infringement of third-party rights. This includes legal fees, damages, and any costs incurred by Wavmark or the Buyer in defending such claims.

For Buyers: You agree to indemnify Wavmark against claims arising from your use of licensed content outside the scope of your license.

8. Limitation of Liability

Wavmark acts as a marketplace facilitating transactions between Creators and Buyers. To the maximum extent permitted by law, Wavmark's liability for any claim arising from this Agreement shall not exceed the license fee paid for the specific Track in question. Wavmark is not liable for indirect, incidental, special, consequential, or punitive damages.

9. Dispute Resolution

If a dispute arises between a Creator and a Buyer regarding a licensed Track, Wavmark may, at its discretion, mediate the dispute. Wavmark's decision in such mediation is advisory, not binding. For disputes not resolved through mediation, the governing law and jurisdiction provisions in the Terms of Service apply.

10. Changes to License Terms

Wavmark may update these License Terms. Changes apply to licenses purchased after the effective date. Licenses already purchased remain governed by the terms in effect at the time of purchase. Material changes will be communicated at least 30 days before taking effect.
